Fatleon Commerce — Standard License (v2.2) The version of this license included with your purchase at the time of purchase governs your rights. Licensor may publish updated versions for future purchases only. Purchase price, refunds, taxes, and checkout terms are governed by your storefront (for example Lemon Squeezy) and any separate Terms of Sale — not by this file. If you purchased the Agency product SKU, LICENSE-AGENCY applies instead. Copyright (c) the Licensor named on your purchase receipt. PARTIES AND ACCEPTANCE ================================================================================ "Licensor" means the seller of this Kit, as identified on your invoice or purchase receipt (name, store name, and/or contact email). "You" or "Licensee" means the individual or legal entity that obtained this kit under the Standard product SKU through an authorized purchase from Licensor. By downloading, cloning, or using the Kit Source (defined below), you agree to this Standard License. If you do not agree, do not use the Kit Source. ================================================================================ 2. DEFINITIONS ================================================================================ "Kit Source" means the source code, documentation, configuration, scripts, and other materials included in the Fatleon Commerce deliverable provided by Licensor (excluding third-party components under Section 6). Kit Source and "Software" mean the same thing in this license. "Standard License" means the perpetual license granted under this document for use of the Kit Source by Licensee for Licensee's own projects, as described in Section 3, unless terminated under Section 10. "Production Storefront" means one (1) customer-facing ecommerce store or business owned and operated by Licensee (or the organization named on the purchase receipt). A Production Storefront is not limited to one domain: www, mobile, and regional hostnames for the same store count as one Production Storefront. Changing, redirecting, or replacing the domain for that same store does not create an additional Production Storefront. A separate brand or independent ecommerce business counts as a separate Production Storefront. A Production Storefront is not considered owned and operated by Licensee merely because Licensee provides development, hosting, maintenance, infrastructure, or other services to the third party operating or benefiting from that storefront. "Non-production Environment" means staging, preview, CI, or development copies used only to develop and test a Production Storefront licensed under this Standard License. "Licensee Materials" means your original content and materials that you independently create and add to a project using the Kit Source, including products, media, copy, trademarks, order and customer data, and original code you write that is not a copy of Licensor's Kit Source. ================================================================================ 3. GRANT OF LICENSE (STANDARD — UNLIMITED OWN PROJECTS) ================================================================================ Subject to your compliance with this Standard License and payment of applicable fees, Licensor grants you a perpetual, non-exclusive, non-transferable license to: (a) use and modify the Kit Source to build and operate an unlimited number of Production Storefronts that you (or your purchasing organization) own and operate; (b) deploy those Production Storefronts and reasonable Non-production Environment(s) for each; (c) store the Kit Source and your permitted modifications in private source-control repositories (for example GitHub, GitLab, Bitbucket), provided access is limited to you and authorized personnel under (d); (d) permit your employees and contractors to access and use the Kit Source solely on your behalf for Licensee-owned projects under this Standard License. There is no per-developer seat limit. Contractors may not reuse, retain, or redistribute the Kit Source for their own separate clients or products after their engagement with Licensee ends; (e) use AI-assisted development tools to modify the Kit Source, provided you remain responsible for complying with this license and such use does not grant any unauthorized third party access to, rights in, or possession of the Kit Source. This Standard License is for Licensee's own commercial or internal use only. It does not permit you to use the Kit Source primarily as a service to build, deliver, or host Production Storefronts for third-party clients. That use requires the Agency License (LICENSE-AGENCY). This Standard License is personal to the purchasing individual or legal entity named on the purchase receipt. It may not be assigned or transferred to another individual or entity without Licensor's prior written consent. ================================================================================ 4. RESTRICTIONS (ALL TIERS — RESELLER BAN) ================================================================================ You may NOT, and may NOT permit others to: (a) sell, sublicense, rent, lease, lend, or otherwise redistribute the Kit Source or other redistributable kit materials as a product, template, starter kit, boilerplate, theme, or competing kit, whether for free or for a fee; (b) make the Kit Source or any substantial portion thereof available to any person not authorized under this license (including via public repositories, file-sharing, paste sites, package registries, or similar); (c) remove or alter proprietary notices in the Kit Source, except as needed for your lawful internal use; (d) use the Kit Source primarily to develop Production Storefronts for third-party clients where the client is the operator or beneficiary of the project (Agency / client-work use — see LICENSE-AGENCY); (e) use the Kit Source as the basis of a hosted service, SaaS product, website builder, multi-tenant ecommerce platform, or other offering that provides substantially similar kit functionality to third parties; or (f) imply that Licensor endorses your store or services without permission. Not prohibited: • End users who visit your deployed stores and buy goods or services. • Compiled or minified client-side assets delivered to website visitors as part of normal operation, provided kit source is not exposed to visitors. • Deployment to infrastructure you control (for example your AWS accounts), with source kept private under Section 3(c)–(d). ================================================================================ 5. OWNERSHIP ================================================================================ Licensor retains all right, title, and interest in and to the Kit Source and all intellectual property rights therein. Nothing in this license transfers ownership of the Kit Source to you. You may create and use modifications as permitted by this license. You retain ownership of Licensee Materials, subject to third-party terms. No rights are granted except as expressly stated in this license. ================================================================================ 6. THIRD-PARTY SOFTWARE AND SERVICES ================================================================================ The Kit Source depends on third-party open-source components and cloud services. Those remain under their own licenses and terms. You are responsible for your accounts, fees, and compliance with those providers. See the NOTICE file included with the Kit, which identifies applicable third-party software, licenses, and notices. ================================================================================ 7. UPDATES AND SUPPORT ================================================================================ Unless your purchase agreement or product listing says otherwise, Licensor is not obligated to provide updates, new versions, or support. A perpetual license does not entitle Licensee to future versions unless separately offered by Licensor. ================================================================================ 8. DISCLAIMER OF WARRANTIES ================================================================================ THE KIT SOURCE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ================================================================================ 9. LIMITATION OF LIABILITY ================================================================================ TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE KIT SOURCE OR THIS LICENSE. Licensor's aggregate liability shall not exceed the total fees you actually paid to Licensor for this Standard License (or USD 100 if no fee was paid). ================================================================================ 10. TERMINATION ================================================================================ Licensor may terminate this Standard License if Licensee materially breaches it and fails to cure within fourteen (14) days after written notice (where cure is reasonably possible), or immediately for breaches that cannot reasonably be cured (for example public redistribution of the Kit Source). Examples of material breach include, without limitation: redistributing the Kit Source as a template or competing product; making the Kit Source publicly available; or permitting contractors to retain or reuse the Kit Source outside Licensee's licensed projects. Upon termination: (a) Licensee must cease all further use of the Kit Source, including for new Production Storefronts and new deployments; (b) Licensee must not deploy or launch new Production Storefronts using the Kit Source after the effective date of termination; (c) Production Storefronts already deployed and operating before the effective date of termination may continue to operate, provided Licensee does not use Kit Source from those Production Storefronts to create new unrelated Production Storefronts or projects, build competing products, or redistribute the Kit Source outside the rights granted under this license. Termination does not transfer ownership of Licensee Materials to Licensor. ================================================================================ 11. GOVERNING LAW AND VENUE ================================================================================ This license is governed by the laws of the Hong Kong Special Administrative Region. The courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived. ================================================================================ 12. ENTIRE AGREEMENT ================================================================================ This license, together with your purchase receipt (including license version and SKU) and any separate Terms of Sale, is the entire agreement regarding rights to use the Kit Source under the Standard SKU. In the event of a conflict, the following order of precedence applies: (1) this License with respect to software usage rights; (2) the applicable Terms of Sale with respect to purchase, payment, refunds, and transaction terms; and (3) the purchase receipt for SKU and order-specific information. ================================================================================ Plain-language summary (Standard License): • Buy once → perpetual license → unlimited stores you own and operate. • Modify, private Git, AI tools, whole team — OK. • NOT for client work → buy Agency. • NEVER resell or redistribute the Kit Source. Not open source. • License is personal to the buyer; not transferable without written consent.
